By accessing and using SOP Manager ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

SOP Manager is a web-based platform that provides Standard Operating Procedure (SOP) management tools including document creation, editing, training tracking, user management, and reporting features. The service is provided by HSP Automation LLC.

3. User Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service for any commercial purpose without explicit consent

5. Subscription and Payment

Certain features require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees and charges
  • Provide accurate billing information
  • Automatic renewal terms as selected
  • Cancellation policies as outlined in your subscription

We reserve the right to change our pricing at any time with 30 days' notice.

6. Content Ownership and License

You retain ownership of all content you upload to the Service. By using the Service, you grant us a non-exclusive, worldwide license to host, store, and display your content solely for the purpose of providing the Service to you.

We do not claim ownership of your SOPs, documents, or other content. You are solely responsible for the content you create and share.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

We strive to maintain high availability of the Service but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

9. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will cease
  • We will provide you with an opportunity to export your data
  • Unpaid fees become immediately due
  • Certain provisions of these Terms will survive termination

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, HSP Automation LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless HSP Automation LLC from any claims, losses, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction where HSP Automation LLC is incorporated, without regard to conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the new Terms.
